1. Agreement to Terms

Welcome to Whizpot ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the Whizpot platform, including our website, APIs, integrations, AI features, mobile applications, and any related services (collectively, the "Service"). By creating an account, accessing the Service, or clicking "I Agree," you enter into a legally binding agreement with Whizpot Labs, Inc., a Delaware corporation.

If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. References to "you" or "Customer" mean both the individual user and the organization they represent.

2. Eligibility and Account Security

You must be at least 18 years old and capable of forming a legally binding contract to use the Service. You agree to provide accurate, complete, and current registration information and to update it promptly. Each user must maintain a unique account; shared accounts are prohibited except for designated AI worker accounts.

You are responsible for safeguarding your credentials and for all activities under your account. You must notify us immediately at security@whizpot.app of any unauthorized access. We support multi-factor authentication (MFA), OTP-based login, and SSO via OAuth 2.0 / SAML.

3. Subscription, Billing, and Seat Management

Access to paid features requires an active subscription managed through our billing provider (Stripe). Pricing is determined by your selected plan tier, seat count, and billing interval as displayed during signup or in your Billing settings.

• Trial Period: New organizations receive a 30-day full-feature trial. No credit card is required to begin. At trial expiration, workspaces enter read-only mode ("soft lock"). Full access resumes upon adding a valid payment method.
• Seat Ledger: Every seat addition, removal, or adjustment is recorded in an immutable SeatLedgerEntry with actor, timestamp, reason, and delta.
• Auto-Renewal: Subscriptions auto-renew at the end of each billing period unless cancelled. Cancellation takes effect at period end.
• Taxes: Prices exclude applicable taxes. You are responsible for all sales, use, VAT, and similar taxes.

4. Acceptable Use

You agree not to use the Service to: (a) violate any law or regulation; (b) infringe intellectual property rights; (c) transmit malware, spam, or phishing content; (d) attempt unauthorized access to other accounts or systems; (e) reverse-engineer, decompile, or disassemble the Service; (f) resell, sublicense, or redistribute access without written consent; or (g) use the Service to train competing AI models.

5. Intellectual Property & AI Features

Your Data: You retain all ownership rights to data you upload, create, or store in the Service ("Customer Data"). We receive a limited license to process Customer Data solely to provide the Service.

Our IP: Whizpot and its licensors own all rights in the Service, including source code, AI models, documentation, trademarks, and proprietary algorithms.

AI Outputs: Outputs generated by Whizpot's AI features (including auto-generated acceptance criteria, test cases, summaries, and migration mappings) are provided "as-is" for decision-support and must be reviewed by humans before reliance.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WHIZPOT'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATED TO THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO WHIZPOT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL WHIZPOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
